Terms of Use and Attendance

Welcome to OnlineLendingPolicySummit.com, home of the Online Lending Policy Summit. These Terms of Use and Attendance (the “Terms”) govern your use of OnlineLendingPolicySummit.com (the “Site”) as well as your participation in the Online Lending Policy Summit 2019 (the “Summit”) hosted by Online Lending Policy Institute, Inc. (“Online Lending Policy Institute”). You agree to be bound by these Terms. You further agree to be bound by the Site’s privacy policy available under the “Privacy Policy” link on the Site (the “Privacy Policy”) which is incorporated into these Terms.

Online Lending Policy Institute may revise or replace these Terms at any time. Any changes we make will be effective immediately upon posting of the revised Terms on the Site. The “Last Updated” date above will reflect the date of the most recent revision. By continuing to use this Site after that date, you agree to the changes in full and without modification.

1. Your Use of the Site
(a) Online Lending Policy Institute provides the site to allow users to learn about the Summit and to purchase tickets or sponsorships for the Summit. By visiting or using the Site in any way, whether or not you purchase admission to the Summit (“Admission”) or sponsorship (“Sponsorship”), you agree to each of the following:
i. You are at least 18 years of age and possess the legal capacity to enter into a binding contract. If you are accessing the Site on behalf of any company or other entity, you represent and warrant that you have agency to act on behalf of such company or entity.
ii. If the Site or its content is prohibited or illegal in your jurisdiction you will immediately cease use of the Site.
iii. All information you submit to the Site will be truthful, complete, and accurate in all respects.
iv. You will not use the Site in connection with any activity which could be deemed fraudulent, harassing, abusive, defamatory, or illegal in any jurisdiction.
v. You will not disrupt, or attempt to disrupt, the Site’s services, accessibility, or security.
vi. You will not use or employ robots, spider, or any other device or tool to index, data mine or in any way reproduce or circumvent the navigational structure or presentation of the Site.
(b) Online Lending Policy Institute reserves the right to modify or discontinue all or any feature of the Site at any time and without notice. Online Lending Policy Institute will have no liability to you if the Site or any portion thereof is modified or discontinued in any way.

2. Summit Details
(a) The details of Summit are subject to change without notice. Any agenda, schedule, or other details provided by Online Lending Policy Institute or posted to the Site should be considered a draft of the proposed details for the Summit.
(b) If you attend the Summit you agree to follow (i) the rules and procedures of the venue in which the Summit is hosted and (ii) and rules or procedures of the Summit. Online Lending Policy Institute reserves the right to refuse admission to the Summit or to eject any patron at any time and for any reason.
(c) Other than pursuant to our refund policy (as described in Section 3(c) of these Terms), no refunds will be made, even if you do not attend the Summit.

3. Site Transactions
(a) You may purchase Admission to the Summit or a Sponsorship to the Summit as indicated on the checkout page of the Site (collectively, “Purchases”). All Purchases are subject to acceptance and approval by Online Lending Policy Institute, which may decline or reject orders even if the Site appears to have accepted them.
(b) By making any Purchase on the Site you agree to pay the price indicated on the Checkout page that corresponds to your selected Purchase. You understand and acknowledge that, in the case of an Admission Purchase, you will receive an electronic ticket confirmation sent to the email address you provide. Sponsorship Purchases shall come with the services indicated on the Site.
(c) Online Lending Policy Institute will provide refunds for any Purchase within 30 days of your actual Purchase. To submit a refund request, contact Online Lending Policy Institute within 30 days of your Purchase by email at info@olpi.info. You agree that you will not dispute, cancel, or otherwise seek a “chargeback” from your credit card company to circumvent our refund policy.
(d) You agree that the credit card or other payment information you enter is true, complete, and correct in all respects, and further agree and consent to pay the charges that correspond to the Purchases you make.
(e) Online Lending Policy Institute may use a third party payment service to process payments made through the Site. As part of the payment process, you agree to be bound by any terms and conditions of such third party payment processors. Online Lending Policy Institute has no control over the content, sites, or terms and conditions of any third party payment services. Online Lending Policy Institute shall bear no responsibility for any damages or claims arising out of security breaches or otherwise arising out of the conduct or action of such third party payment services.

4. Intellectual Property
(a) All content, text, graphics, designs, logos, images, videos, and icons, appearing on the Site (the “Intellectual Property”) are the sole property of Online Lending Policy Institute or its suppliers or licensors, and are protected by U.S. and international copyright, trademark, and patent laws. No sale, assignment, or transfer of Intellectual Property has been made to you. Any use, modification, reproduction, or distribution of the Intellectual Property by you (no matter the form) is strictly prohibited. Online Lending PolicyInstitute reserves all rights to the Intellectual Property.

5. Indemnification
(a) You acknowledge and agree that you will indemnify, defend, and hold Online Lending Policy Institute and its affiliates, officers, directors, owners, agents, information providers, licensors, and licensees (collectively, the “Affiliates “) harmless from and against any and all liabilities and costs incurred by the Affiliates in connection with any claim arising out of, or related to, (i) your breach of these Terms or (ii) your attendance at the Summit. Online Lending Policy Institute reserves the right, at our expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

6. No Warranty
(a) The Site is provided on an “as is,” “where is,” “as available,” and “with all faults” basis without warranty of any kind, whether express or implied, including (but not limited to) any warranties of merchantability, fitness for a particular purpose, or accuracy. Online Lending Policy Institute makes no warranty as to the accuracy, completeness, or reliability of any content available on the Site. Online Lending Policy Institute further provides the Site without any warranty as to availability, accessibility, or uptime.

7. Limitation of Liability
(a) By using the Site or making any Purchase, you agree to release and hold harmless Online Lending Policy Institute and its Affiliates from and against any liability, damage, claim, harm, or injury of any kind that may arise directly or indirectly from using the Site or attending the Summit. Online Lending Policy Institute will in no case be responsible or held liable for any consequential, special, or incidental losses or damages. Online Lending Policy Institute’s total aggregate liability to any person under this Agreement shall not exceed $200.00.
(b) You acknowledge and agree that the Site does not provide financial advice.

8. Additional Terms
(a) These terms shall be governed and interpreted solely in accordance with the laws of the state of New Jersey. Any dispute arising out of, or related to, these Terms, your attendance at the Summit, or any Purchase made by you shall be brought exclusively in the state and federal courts of New Jersey.
(b) These Terms, coupled with the Privacy Policy incorporated herein by reference, represent the entire agreement between you and Online Lending Policy Institute as it relates to the subject matter hereof.
(c) If any provision of these Terms is held invalid, the remainder of these Terms shall continue in full force and effect to the maximum extent allowed by law.
(d) Online Lending Policy Institute’s failure or delay in exercising any right, power or privilege under these Terms shall not operate as a waiver.
